CCI clears Lenexis Foodworks led consortium to acquire a stake in Restaurant Brands Asia, Burger Kings India master franchisee, amid QSR consolidation and strong RBA Q4 FY26 results.
The Competition Commission of India (CCI) has approved the acquisition of a certain stake in Restaurant Brands Asia (RBA), the master franchisee operator of Burger King in India, by a consortium led by Lenexis Foodworks and affiliated entities.
The approved transaction involves Lenexis Foodworks, Aayush Agrawal Trust (AAT), Inspira Foodworks Private Limited (IFPL), Aayush Madhusudan Agrawal, founder and managing director of Inspira Global, and Inspira Agro Trading LLC (IATL).
According to the approval, the acquisition will be executed through multiple steps, including equity subscriptions, warrant subscriptions, equity purchases and an open offer.
Restaurant Brands Asia is the national master franchisee of the Burger King brand and holds exclusive rights to develop, operate and franchise Burger King restaurants across India.
The deal comes amid increasing consolidation in India’s quick-service restaurant (QSR) sector as companies look to scale operations and strengthen market presence.
Lenexis Foodworks, which has over a decade of experience in the QSR segment, currently owns and operates more than 250 Chinese Wok outlets across over 45 cities in India.
Inspira Foodworks Private Limited is proposed to function as a strategic investment and operating vehicle focused on expanding Lenexis Foodworks’ existing QSR business.
Aayush Madhusudan Agrawal has investments across sectors including premium real estate, QSR chains, pharmaceuticals, luxury home products and clean energy, while Inspira Agro Trading LLC is engaged in the cardamom trading business in the United Arab Emirates.
The transaction follows another major development in the food services sector. Earlier this month, Devyani International Ltd and Sapphire Foods India Ltd approved a merger that will create a unified Yum! Brands franchisee platform in India for KFC and Pizza Hut operations.
